The terms of using foyai.

THE SHORT VERSION
  • foyai is in early access. We're moving fast, so features can change and we don't promise uptime or warranties yet.
  • You own your content. We own the software. We only use your content to run the service for you — never to train third-party AI models.
  • AI drafts can be wrong. A human on your side reviews everything before a buyer sees it — that's on you, not us.
  • Don't upload sensitive data (health, payment cards, government IDs, and the like), and don't abuse the platform.
  • If something goes wrong, our liability is capped, disputes go to arbitration in Delaware, and you can't bring a class action.

1. Who these terms are between

These Terms of Service ("Terms") are a legal agreement between you — and, if you're using foyai on behalf of a company, that company ("you," "your") — and foyai ("foyai," "we," "us," "our"). They govern your access to and use of the foyai website, application, agents, and related services (together, the "Service").

By creating an account, connecting a CRM, or otherwise using the Service, you agree to these Terms. If you're agreeing on behalf of a company, you represent that you have authority to bind that company. If you don't agree, don't use the Service.

2. Early access

foyai is in early access. That has real consequences for what you can expect:

  • We may add, change, limit, or discontinue features at any time, with or without notice.
  • There is no service-level agreement (SLA) and no uptime commitment. The Service may be unavailable, interrupted, or lose data.
  • The Service is provided without warranties beyond fitness for general use (see Section 9).
  • We may suspend or limit your access for any reason with reasonable notice (see Section 12).

If you can't accept these conditions, please wait for general availability. We'll publish updated terms with SLA and warranty commitments before we open broadly.

3. Your account & authority to connect

You're responsible for your account, for keeping your credentials secure, and for everything that happens under it. Notify us promptly if you suspect unauthorized access.

When you connect Attio (or another CRM) to foyai, you represent and warrant that you have the authority to do so on behalf of your organization — including authority to let foyai access and process the CRM and contact data in that workspace, and authority to invite buyers and other participants into foyai rooms. You're responsible for having any consents or notices that your own customers and contacts require.

4. Acceptable use

You agree not to, and not to allow anyone else to:

  • Scrape, crawl, or harvest data from the Service except through features we provide for that purpose.
  • Send spam, or use the Service to send unsolicited or unlawful communications.
  • Upload, store, or share illegal content, malware, or anything that infringes someone else's rights.
  • Abuse buyer rooms — including impersonation, harassment, or sharing room access with people who aren't authorized to see it.
  • Reverse-engineer, resell, or attempt to circumvent the limits or security of the Service.

No special-category or sensitive data. foyai is not designed for sensitive data. You represent that you will not upload to foyai rooms — or to the Attio workspace connected to foyai — any GDPR Article 9 data (health, biometric, genetic, or data revealing racial or ethnic origin, or religious, political, or philosophical beliefs, or sexual orientation), HIPAA-covered protected health information, payment card data, government-issued identifiers, biometric data, or criminal-history records. Healthcare or other regulated use requires a separate written agreement (e.g., a BAA) before any such data is processed.

Geographic availability. foyai is available only in select regions. The Service is not available to users in, or organizations operating from, mainland China. Hong Kong, Taiwan, and Macau are treated as separate jurisdictions and are not subject to this restriction.

5. AI features

foyai uses AI to generate drafts, recaps, intelligence notes, and similar outputs. By using these features, you understand and agree that:

  • Outputs can be inaccurate. AI-generated content may be wrong, incomplete, or misleading, and may produce plausible-sounding errors ("hallucinations").
  • You review before you publish. A human on your side must review AI output before it is shared with a buyer or relied upon. foyai is built around a human-approval workflow, and you are responsible for what you choose to publish.
  • We're not liable for buyer-facing accuracy. Beyond providing that human-approval workflow, foyai is not responsible for the accuracy of AI output that you approve and share.
  • No training on your content. We do not use your content to train third-party AI models. Our AI provider processes your content under a paid API that does not train on it (see also Section 6 and our Privacy Policy).

6. Content & ownership

You own your content. As between you and foyai, you own the content you create, upload, or bring into the Service — room contents, uploaded artifacts, and the CRM and contact data foyai reads on your behalf ("Customer Content").

We own the system. foyai owns the Service itself — the code, agents, AI workflows, models we operate, designs, and interface. Nothing in these Terms transfers any of that to you.

The license you give us. You grant foyai a limited license to host, process, and use Customer Content solely for the purpose of providing and supporting the Service to you. We use it for no other purpose.

Aggregated, de-identified data. We may create and use de-identified, aggregated statistics derived from use of the Service (for example, "rooms at stage X convert at Y%") to improve the product and to provide benchmarks to other customers — provided that no individual customer or person is identifiable or re-identifiable from that data.

What we won't do. We will not use Customer Content to train third-party AI models, and we will not sell or disclose Customer Content to advertisers or data brokers.

7. Fees

Some plans are paid. Pricing, plan limits, and what's included may change during early access — see our pricing page for current details. Where fees apply, they're billed in advance and are non-refundable except where required by law. We'll give you reasonable notice before a price change affects a plan you're already on.

8. Confidentiality

Each party may get access to the other's non-public information. The receiving party will use it only to perform under these Terms and will protect it with at least reasonable care. This doesn't cover information that's public through no fault of the receiving party, already known to it, or independently developed. Either party may disclose the other's confidential information if legally required, after giving reasonable notice where permitted.

9. Disclaimers

Because foyai is in early access, the Service is provided "as is" and "as available," without warranties of any kind beyond fitness for general use. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate.

10. Limitation of liability

To the fullest extent permitted by law:

  • Cap. Our total liability arising out of or relating to the Service is limited to the amount of fees you paid to foyai in the three (3) months immediately before the event giving rise to the claim.
  • Excluded damages. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue, even if advised such damages were possible.

These limits do not apply to: our indemnification of you for third-party intellectual-property claims; a party's gross negligence or willful misconduct; breach of confidentiality (Section 8); or breach of data-protection obligations. For those carve-outs, the cap above does not apply.

11. Indemnification

You will defend and indemnify foyai against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms, or your breach of your representations about authority and acceptable use (Sections 3 and 4). foyai will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that third party's intellectual-property rights.

12. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access with reasonable notice, or immediately if you breach these Terms, create risk for us or other users, or as required by law. On termination, your right to use the Service ends. We'll make Customer Content available for export for a reasonable period where practical, after which we may delete it consistent with our Privacy Policy. Sections that by their nature should survive — including ownership, confidentiality, disclaimers, liability limits, indemnification, and governing law — survive termination.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its rules, seated in Wilmington, Delaware. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. Disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.

Injunctive relief carve-out. Despite the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to address a breach of confidentiality or of intellectual-property rights.

14. Trademarks

foyai is a trademark of foyai. Attio is a trademark of Attio Inc., used here for descriptive interoperability purposes only. Our use of the Attio name does not imply any partnership with, endorsement by, or affiliation with Attio Inc. All other marks belong to their respective owners.

15. Changes to these terms

If we update these Terms, we'll change the "Last updated" date above. For material changes, we'll give notice — for example, by email or an in-product notice — before they take effect. Continuing to use the Service after a change means you accept the updated Terms.
